Article I – Name

 The name of the organization shall be the Ridglea North Association (RNA).

 

Article II – Office

 

The Association’s principal office and address shall be the residence of the Association’s President. The Executive Board may designate another location at its discretion.

 

Article III – Boundaries

 

The boundaries of the Association are Camp Bowie Boulevard on the South, Calmont Avenue on the North, Horne Street on the East and Lackland Boulevard on the West.

 

Article IV - Purpose

 

The purpose of the Ridglea North Association is to provide an organized framework to promote, preserve, and enhance the quality of life and values in the Ridglea North neighborhood by:

 

bulletExtending opportunities to residents, landowners, entrepreneurs, ad other interested parties through education about the neighborhood and community affairs and local topics of immediate interest.

 

bulletElevating and promoting the image of the neighborhood.

 

bulletEncouraging a sense of pride and identity among the Association members.

 

bulletEstablishing a direct line of communication with members of the City Council, City Manager’s offices, Code Enforcement, and Neighborhood Police Officers.

 

bulletCommunicate, establish and maintain a direct relationship with the Ridgela North Citizens on Patrol Program (COP), a self-governed separate entity that has its own set of by-laws and reports to the City of Fort Worth Police Department.

 

bulletAdvising on available funding, loans, grants and programs designed for the betterment and improvement of older neighborhoods.

 

bulletProviding a forum for the airing of grievances.

 

bulletFamiliarizing residents, landowners, and entrepreneurs about the Association and its purposes.

 

Article V – Policies

 

Section 1.     The Ridglea North Association shall be a non-partisan organization and shall not support candidates for public office. The Association may take positions on issues. All action appropriate to sustain an approved RNA position must be authorized by the Executive Board before the President or the President’s representative may so act.

 

Section 2.     The Association shall never be operated for the primary purpose of profit and no part of its earnings or membership fees shall be used to the benefit of private individuals.  

Section 3.     The RNA may enter strategic alliances with other related organizations to the benefit of the RNA. Decisions to join other organizations or enter into strategic alliances will be at the discretion of the Executive Board.

Section 4.     For accounting purposes, the RNA shall work on a fiscal year of July 1 – June 30.

 

Article VI – Membership

 

Section 1.     There shall be three categories of membership in the Association: regular, business or associate.

 

Section 2.     A regular member of RNA shall be any person over the age of eighteen residing and or owning residential property within the Association’s boundaries.

 

Section 3.     A business member of RNA shall be any person, firm, or corporation operating a place of business within or bordering the Association’s boundaries; provided, however, that each such business shall be entitled to one membership only in the Association.

 

Section 4.     An associate member of RNA shall be any person, firm or corporation who neither resides, owns property, nor operating a place of business within or bordering the Association’s boundaries, but nevertheless, maintains an interest in the Association and its purposes. Associate members shall have the privilege of the floor, but no voting rights.

 

Article VII – Sources of Revenue

 

Section 1.     Annual dues for each category of membership shall be recommended by the Executive Board and approved by a majority vote of the members in attendance at the meeting in which a dues change is considered. Dues shall be paid by the 1st of July for the following calendar year. Members shall be considered in arrears if their dues are not paid by the 1st of August.

 

Section 2.     The annual dues for the Association will be set as follows: $25.00 per year for Regular Member

                        $20.00 per year for Regular Member with COPS Certification

$50.00 per year for Business Member

                        $50.00 per year for Associate Member

 

Section 3.     A member who joins during the middle of a fiscal year, will be required to pay dues through the end of the current year according to the following formula. A member joining before March 31 will pay the full amount of Annual Dues for their type of membership. A member joining after March 31 will deduct $10 from the Annual Dues price for their type of membership. Whether joining in the middle of the month or beginning, a member must always pay from the beginning of the month they are joining.

 

Section 4.     If a member decides to remove themselves from membership in the RNA, they will not be entitled to any refund of their dues paid.

 

Section 5.     The RNA may engage in fundraising activities related to its purposes. The Executive Board may accept on behalf of the Association any contribution, gift, or bequest for the general purpose or for any special purpose of the Association.

 


Article VIII – Meetings

 

Section 1.     Regular meetings of RNA shall be held at least quarterly on the first Thursday of the month. Meetings may be held more often as determined by the Executive Board of the RNA. Special meetings may be called by the President, but no RNA meeting may be called or held without the express permission of the President or the RNA Executive Board. Notification of meetings shall be provided to all members a minimum of five (5) days in advance.

 

Section 2.     The members present at a meeting shall constitute a quorum.

 

Section 3.     The Executive Board shall meet as required, usually on a monthly basis. These meetings shall be open to interested paid members of the Association. Non-members may address the Executive Board at a regular meeting as long as they obtain prior permission from the President. No non-member may attend a meeting of the Executive Board.

 

Article IX – Executive Board

 

Section 1.     There shall be seven (7) elected officers and the immediate Past President on the Executive Board.

 

Section 2.     The Executive Board shall supervise the affairs of the Association in accordance with its stated purposes and policies; set the agendas for the regular meetings; transact any business between meetings of the Association and report to the next meeting; represent the RNA in other organizations and strategic alliances; and make recommendations to the general membership on matters before the Association.

 

Article X – Officers

 

Section 1.     The officers of the RNA shall be the President, Vice President - Association Affairs, Vice President – Public Safety, Secretary, Treasurer and two (2) directors at large.

 

Section 2.     Officers shall assume their duties in July and shall serve for one full year until their successors are duly elected. There will be no limit on terms for officers.

 

Section 3.     Only regular members of the RNA are eligible for election to any office. 

 

Section 4.     Officers shall be elected at the June meeting by a simple majority vote of regular and business members present.

 

Section 5.     At the first quarter meeting each year, the President shall appoint a nominating committee of at least three (3) members. The nominating committee shall present a slate of one of more nominees for each office at the June meeting. Nominations from the floor shall be allowed at this time also.

 

Section 6.     Vacancies in office shall be handled as follows:

A.                In the event the President is unable to complete his/her term the Vice President – Association Affairs shall become the President for the un-expired portion of the term.

B.                  Vacancies in offices other than the President shall be filled for the un-expired term by the Executive Board.

C.                Unexcused absences as determined by the Executive Board from three (3) consecutive meetings shall constitute a vacancy of office.

 

Article XI – Duties of Officers

 

Section 1.     The President shall be the principle officer of the Association and shall:

A.                Preside at all meetings of the Association.

B.                  Be the sole spokes person for RNA. The Executive Board may designate another member to serve in this capacity as necessary.

C.                Sign with the Treasurer or any other officer of RNA authorized by the Executive Board, all checks, contracts and other legal documents.

D.                Appoint committee chairpersons with approval of the Executive Board.

E.                  Serve or appoint another member as the Association’s primary representative to the Fort Worth League of Neighborhoods.

F.                  Shall be empowered to vote in meetings of the general membership and the Executive Board only when necessary to break a tie vote.

 

Section 2.    The Vice President – Association Affairs shall:

A.                Serve and assume all responsibilities in the absence of the President.

B.                  Act as a special assistant to the President and represent the President whenever so designated.

C.                Perform all such duties as request by the President or Executive Board.

D.                Be responsible for preparing and distributing the RNA newsletter.

E.                  Be empowered to sign any documents as authorized by the Executive Board and the President in the absence of the President or in the event of an emergency.

 

Section 3.     The Vice President – Public Safety shall:

A.                Serve as the active liaison between the Ridglea North COP officers and the Ridglea North Association.

B.                  Provide a written monthly crime status report to the Executive Board of the activities of the Ridglea North COP team.

C.                Support the Ridglea North COP Captain in recruiting members within the RNA to participate in the COP program.

D.                Serve as a special advisor on issues involving neighborhood safety and security.

E.                  This position must be COPS certified, but does not have to be an officer in the Ridglea North COP.

 

Section 4.   The Secretary shall:

A.                Keep minutes of the proceedings of all meetings of the Association.

B.                  Act as a special assistant to the President and represent the President whenever so designated

C.                Maintain a current roster of membership indicating the name, address and telephone number of each member, as well as, his or her classification of membership.

D.                Conduct the correspondence of the Association.

E.                  Preserve in file all records of value to the Association.

F.                  Perform such other duties as requested by the President or Executive Board.

 

Section 5. The Treasurer shall:

A.  Collect membership dues and keep records of paid members.

            B.  Maintain custody of all financial records of the RNA and deposit all such funds in a bank approved by the Executive Board.

C.  Pay all bills and distribute funds by check only upon receipt of a bill. The Treasurer and the President with the approval of the Executive Board must sign all checks. 

            D.  Submit a written financial report at each meeting and give a copy to the secretary.

            E.  Perform such other duties as requested by the President or Executive Board.

 

Section 6.     Directors at Large

A.                Serve as chairs of standing committees as appointed by the President.

B.                  Provide advice and assistance in carrying out RNA activities.

C.                Perform other such duties as requested by the President or Executive Board.

 

Section 7.     The Committee Chairs shall:

A.                Serve as chairs of standing committees as appointed by the President.

B.                  Perform such other duties as request by the President or Executive Board.

 

Section 8.     Upon retirement from office, each officer shall deliver to his or her successor, all records, papers, and other property belonging to the Association within fifteen (15) days.

 

Section 9.     The Past President shall be an official member of the Executive Board with full voting rights. In the event of a tie vote, the President’s vote will decide the outcome.

 

Article X- Parliamentary Authority

 

Procedures at all meetings shall be conducted with due regard to parliamentary practice with Robert’s Rules of Order Newly Revised, serving as the authority on all points not covered specifically by these By laws.

 

 

Article XI- Amendments

 

Section 1.     Amendments to these Bylaws shall be made at any regular or special meeting by a two- thirds (2/3) vote of the members who are present and in good standing, provided that notice of such meeting contains the proposed amendment(s). Such amendments shall be effective as of the date of enactment.

 

Section 2.     A full text of such an amendment shall be made available to all members prior to the date the amendment will be considered.

 

Article XII- Dissolution

 

The Ridglea North Association may be dissolved with the majority vote of the Executive Board, provided that the disbursement of all monies and properties is acted upon prior to dissolution, and all liabilities and obligations of the corporation must be paid, satisfied and discharged.
